5. No Guarantee of Results
While we are committed to delivering results and our pricing model reflects that commitment, we cannot guarantee specific outcomes such as a minimum number of booked appointments, revenue generated, or return on ad spend. Results vary based on market conditions, competition, seasonality, ad budget, and factors outside our control. Our performance-based model means we share in the risk alongside you.
6. Intellectual Property
All content on this Site — including text, graphics, logos, and code — is the property of Adflowlab and protected by applicable intellectual property laws. Ad creatives, copy, and materials produced for your campaigns remain the property of Adflowlab until full payment has been received, after which usage rights transfer to the client as agreed in the service agreement.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This includes campaign strategies, pricing, lead data, and client business information. This obligation survives termination of the service agreement.
8. Termination
Either party may terminate the service agreement with written notice as specified in the individual service agreement. Upon termination, all fees owed for booked appointments delivered prior to the termination date remain payable. Adflowlab reserves the right to suspend or terminate services immediately for non-payment or violation of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Adflowlab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, or loss of business opportunity arising from your use of our services. Our total liability to you for any claim shall not exceed the total fees paid by you in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Adflowlab, its owners, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.
11. Third-Party Platforms
Our services involve the use of third-party platforms including Meta (Facebook/Instagram) and SMS providers. Your use of these platforms through our services is also subject to their respective terms of service. We are not responsible for changes, restrictions, or actions taken by these platforms that may affect campaign performance.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
